Final Legal & Compliance Disclosures - International Brokerage Services

These disclosures apply to the international brokerage services made available by Qatar Securities Company. They should be read together with the applicable client agreement, account-opening documents, and any specific terms governing the relevant market or financial instrument.

1. General Disclaimer

1.1 Purpose of Information

The information provided by Qatar Securities Company (“QSC”) on its website, platform, or in related materials concerning international brokerage services (the “Service”) is provided for general informational purposes only. It does not constitute investment advice, a recommendation, an offer, or a solicitation to buy or sell any security, financial instrument, or product in any jurisdiction.

1.2 Information and Third-Party Data

While QSC takes reasonable care to ensure that information made available through the Service is accurate and up to date, QSC does not warrant the accuracy, completeness, timeliness, or reliability of market data, quotes, research, or other information supplied by third parties. Clients should independently verify information before making investment decisions.

1.3 Third-Party Infrastructure

The Service may rely on third-party technology, brokers, custodians, sub-custodians, exchanges, clearing houses, and other authorised service providers for market access, execution, clearing, settlement, custody, data, and related operational functions. Such third parties operate subject to their applicable contractual, regulatory, and market requirements.

1.4 Service Availability

QSC does not guarantee uninterrupted or error-free access to the Service. Access may be suspended, restricted, or unavailable due to maintenance, security, market, regulatory, technical, or other operational reasons, subject to applicable law and regulatory requirements.

1.5 Jurisdictional Restrictions

The Service is available only to clients eligible to receive it under applicable laws and regulations. It must not be used in any jurisdiction where such use would be unlawful or where the relevant service is not authorised.

2. Legal Disclaimer

 

2.1 Regulatory Status

Qatar Securities Company is licensed and regulated by the Qatar Financial Markets Authority (QFMA). Access to international markets through the Service is subject, as applicable, to Qatari regulatory requirements and the rules of the relevant foreign regulators, exchanges, clearing and settlement systems.

2.2 Nature of Relationship

Unless expressly agreed otherwise in writing, QSC acts in connection with the Service as a broker/execution agent and does not, merely by providing the Service, assume an advisory, fiduciary, or discretionary portfolio-management role. Clients remain responsible for their investment decisions.

2.3 Client Responsibility

Clients are responsible for assessing the suitability and appropriateness of instruments and markets in light of their financial circumstances, objectives, knowledge, experience, and risk tolerance, and for complying with any tax, reporting, foreign-exchange-control, or other legal obligations applicable to them.

2.4 Limitation of Liability

To the extent permitted by applicable law and regulation, QSC shall not be responsible for losses resulting solely from market movements, exchange or regulatory actions, failures or delays attributable to third-party systems or service providers outside QSC’s reasonable control, or events of force majeure. Nothing in this disclaimer excludes or limits any liability that cannot lawfully be excluded or limited, including liability arising from QSC’s fraud, wilful misconduct, or gross negligence where applicable.

2.5 Intellectual Property

All trademarks, logos, software, content, and other intellectual-property rights displayed or used in connection with the Service belong to QSC or the relevant licensors and service providers, as applicable, and may not be reproduced or used without the required prior authorisation.

2.6 Governing Law

These disclosures and the client’s relationship with QSC are subject to the laws of the State of Qatar and the dispute-resolution provisions set out in the applicable client agreement, without prejudice to any mandatory regulatory or legal requirements.

2.7 Amendments

QSC may amend these disclosures from time to time to reflect changes in the Service, applicable law, regulation, or operational arrangements. Material changes will be communicated through the channels adopted by QSC, where required.

3. Risk Disclosure Statement

3.1 General Warning

Trading in international securities and financial instruments involves risk and may not be suitable for every investor. This statement highlights principal risks but cannot describe every possible risk. Clients should trade only when they understand the nature of the relevant product and the extent of their exposure to loss and should seek independent professional advice where appropriate.

3.2 Market Risk

The value of investments may rise or fall, and clients may lose some or all of the amount invested. Past performance is not a reliable indicator of future results.

3.3 Foreign Market and Regulatory Risk

Foreign markets may operate under laws, trading practices, disclosure standards, investor-protection arrangements, corporate-action procedures, and tax rules that differ materially from those applicable in Qatar.

3.4 Currency Risk

Investments denominated in currencies other than the Qatari riyal are exposed to exchange-rate movements, which may increase or reduce investment value, income, and conversion proceeds.

3.5 Settlement and Custody Risk

International transactions may involve foreign brokers, custodians, sub-custodians, clearing houses, and settlement systems. Operational failure, default, insolvency, or differing custody and investor-protection regimes may affect client assets or the timing of settlement.

3.6 Liquidity Risk

Some securities or markets may have limited liquidity, wider bid/ask spreads, or higher volatility, making it difficult to execute or close a position at the desired price or time.

3.7 Technology and Connectivity Risk

The Service depends on electronic systems, connectivity, market-data feeds, and third-party infrastructure. Outages, latency, cyber incidents, or communication failures may delay, prevent, or affect order execution and reporting.

3.8 No Guarantee of Returns

QSC does not guarantee any profit, return, or protection from loss from use of the Service.

3.9 Client Acknowledgement

By activating and using international brokerage access, the client acknowledges having read and understood this Risk Disclosure Statement and accepts the risks associated with international trading. The client may seek independent legal, tax, or financial advice before proceeding.
